Draft — pending legal review
This document is a working draft prepared to replace an empty placeholder. It has not yet been reviewed by a lawyer and must not be relied on as final or legally binding until it has been.
These Terms of Service ("Terms") govern access to and use of Disclarion's software-as-a-service product, including the disclarion Python SDK, the api.disclarion.com API, and the app.disclarion.com dashboard (together, the "Service"), provided by [Disclarion's legal entity name and registered address to be inserted] ("Disclarion", "we", "us"). By creating an account or otherwise using the Service, you ("Customer", "you") agree to these Terms.
1. What the Service does
Disclarion helps operators of chatbots and AI agents meet transparency obligations such as Article 50 of the EU AI Act. It provides an SDK that signals when an AI-disclosure notice is owed and provides a reference UI component for showing it, labels AI-generated content, and sends a record of each interaction to Disclarion's API for storage; and a dashboard for reviewing, filtering, and exporting those records.
The Service is not legal advice and does not, on its own, guarantee compliance with the EU AI Act, GDPR, or any other law. It automates specific technical steps (disclosure, labeling, logging) that support compliance; whether your specific product and deployment actually satisfy your legal obligations is your responsibility, and you should seek independent legal advice for your situation.
2. Accounts and API keys
You must provide accurate information when creating an account and are responsible for all activity under your account and API keys. API keys must be kept confidential; Disclarion stores only a one-way hash of each key and cannot recover a lost key. Notify us immediately at hello@disclarion.com if you believe a key has been compromised, and revoke it from the dashboard.
3. Plans, billing, and trials
The Service is offered on a single paid Pro plan, subject to the fair use policy described below, and an Enterprise plan for customers managing AI products for multiple client organizations, described at disclarion.com. Every new account starts with a 30-day free trial, no payment method required to start. Continuing to use the Service past the trial requires subscribing to the Pro plan from the dashboard's billing page; no charge is made automatically. If the trial ends without a subscription, the dashboard becomes read-only (you can still view and export your data as CSV at any time; the Compliance Report becomes unavailable) and you enter a 14-day grace period during which logging continues normally. Only once the grace period itself ends does logging stop. The dashboard stays read-only and viewable, but new interactions are no longer logged until you subscribe. Your data is not deleted because your trial or grace period ends. Paid periods are billed in advance on a recurring monthly basis through our payment processor, Stripe, and can be cancelled at any time from the dashboard's billing page, effective at the end of the current billing period. Fees already paid are non-refundable except where required by law. Your ability to log new interactions depends on being within your trial or grace period, or having an active Pro subscription, not on how many interactions you've logged.
Fair use policy. The Pro plan has no interaction cap, and we will never suspend, delay, or drop your logging because of volume. Pro covers a single organization: your own product, or a single client. If you run AI products for several different client companies, that falls under the Enterprise plan instead, which is agreed on a custom basis and is not a self-service Stripe subscription.
4. Acceptable use
You agree not to:
- use the Service to process content that is unlawful, or to build a product that misrepresents whether it is disclosing AI interactions as required by applicable law;
- attempt to circumvent rate limits, usage limits, or authentication;
- reverse-engineer the Service beyond what is permitted by law;
- resell or provide the Service to third parties as your own product without our prior written consent.
Managing the Service on behalf of multiple client organizations is permitted under an Enterprise plan (Section 3), not under this restriction.
5. Your data
As between you and Disclarion, you own the interaction data you send to the Service. You are responsible for having the necessary rights and legal basis to send that data to us, including any personal data of your own end users contained in it. Our processing of that data on your behalf is further described in our Data Processing Agreement.
6. Availability and support
We aim to keep the Service available and will make reasonable efforts to notify you of planned maintenance, but the Service is provided without an uptime guarantee at this stage. We do not currently offer a formal SLA; if a specific SLA has been agreed with you in writing, that agreement controls in case of conflict.
7. Disclaimers and liability
The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. To the maximum extent permitted by law, Disclarion's total liability arising out of or relating to the Service in any twelve-month period is limited to the amount you paid us in that period, and we are not liable for indirect, incidental, or consequential damages, including regulatory fines arising from your use (or non-use) of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.
8. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access for material breach of these Terms, non-payment, or unlawful use, with notice where practicable. On termination, we will retain your data only as described in our Privacy Policy and delete it thereafter, except where we are required to retain it by law.
9. Changes to these Terms
We may update these Terms from time to time. For material changes, we will make reasonable efforts to notify account owners by email before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
10. Governing law
[Governing law and jurisdiction to be confirmed with counsel and inserted here.]
